These Terms of Service (“Terms”) govern your access to and use of rentmickits.com and any related websites, subdomains, and online services operated by RentMicKits, LLC (“RentMicKits,” “we,” “us,” or “our”). Please read these Terms carefully. By accessing or using the Site, you agree to be bound by these Terms.

These Terms govern your use of the website. Your rental of physical equipment is governed by a separate Equipment Rental Agreement, which controls in the event of any conflict with respect to the Equipment.

1. Acceptance of the Terms

1.1. By accessing, browsing, creating an account on, or otherwise using the Site, you represent that you are at least eighteen (18) years old (or the age of majority in your jurisdiction) and that you accept and agree to be bound by these Terms.

1.2. If you do not agree to these Terms, do not use the Site.

2. Acceptable Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You agree that you will not:

  • (a) use the Site in any way that violates any applicable federal, state, local, or international law or regulation;
  • (b) use the Site to transmit or procure the transmission of any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation;
  • (c) impersonate or attempt to impersonate RentMicKits, a RentMicKits employee, another user, or any other person;
  • (d) engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which may harm RentMicKits or users of the Site;
  • (e) attempt to probe, scan, or test the vulnerability of the Site, breach security or authentication measures, or interfere with any other user or network;
  • (f) use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission, except for well-behaved search engine crawlers obeying our robots.txt;
  • (g) introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful; or
  • (h) attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.

3. Account Registration

3.1. Registration. To place a rental order, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

3.2. Credentials. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@rentmickits.com of any unauthorized access or use.

3.3. One Account. You agree not to create more than one account for yourself or your organization without our prior written permission.

3.4. Eligibility. Accounts are for users eighteen (18) years of age or older. We reserve the right to refuse service, terminate accounts, or cancel orders at our discretion.

4. Intellectual Property

4.1. Our Content. The Site and all of its contents, features, and functionality — including but not limited to all text, photographs, illustrations, graphics, video, audio, product descriptions, kit specifications, pricing, layouts, source code, logos, trademarks, and the “RentMicKits” name and marks — are owned by RentMicKits, its licensors, or other providers of such material, and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

4.2. Limited License. We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Site for your personal, non-commercial use or for legitimate rental inquiries and transactions. This license does not include any right to: (a) resell or commercially use the Site or its content; (b) copy, reproduce, distribute, modify, or create derivative works of the content; (c) download (other than page caching) or use of data mining, robots, or similar data-gathering tools; or (d) use the content in any manner not expressly permitted by these Terms.

4.3. Trademarks. “RentMicKits,” “MicKit,” “MicKit 1,” “MicKit 2,” “MicKit Pro 4,” “MicKit Perform 8,” “MicKit Perform 16,” and any associated logos are trademarks of RentMicKits, LLC. You may not use these marks without our prior written permission.

5. User-Generated Content

5.1. Submissions. The Site may offer areas where you can submit reviews, testimonials, comments, photos, or other content (“User Content”). You retain ownership of your User Content.

5.2. License to Us. By submitting User Content, you grant RentMicKits a worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly display, and publicly perform such User Content in any media, in connection with the Site, our marketing, and our business, including on social platforms.

5.3. Representations. You represent and warrant that: (a) you own or control all rights in and to the User Content; (b) the User Content is accurate; (c) the User Content does not violate these Terms; and (d) the User Content will not cause injury to any person or entity.

5.4. Removal. We reserve the right, but have no obligation, to monitor, edit, or remove User Content at any time for any reason.

6. Prohibited Conduct

In addition to Section 2, you specifically agree not to:

  • scrape, harvest, or otherwise collect information about other users;
  • reverse-engineer or decompile any part of the Site or any software made available through the Site;
  • use the Site to send unsolicited commercial email or to harvest email addresses;
  • impersonate another person or entity, including any RentMicKits employee;
  • misrepresent your affiliation with any person or entity;
  • post or transmit content that is defamatory, obscene, indecent, or otherwise objectionable; or
  • circumvent any rate limiting, checkout protection, fraud detection, or security feature of the Site.

The Site may contain links to third-party websites, services, or resources, including payment pages hosted by Stripe and shipping tools hosted by shipping carriers or shipping software. We are not responsible for the availability, accuracy, content, products, or services of any linked third party. You access third-party sites and services at your own risk and subject to their own terms and privacy policies.

8. Changes to the Service

We may modify, suspend, or discontinue the Site, or any feature or portion of it, at any time with or without notice. We are not liable to you or to any third party for any such modification, suspension, or discontinuation. Prices, product availability, rental terms, and shipping rates may change without notice; the terms in effect when you place an order govern that order.

9. Termination

9.1. By You. You may stop using the Site and close your account at any time by contacting support@rentmickits.com.

9.2. By Us. We may suspend or terminate your account and access to the Site at any time, with or without cause or notice, including if we believe you have violated these Terms, engaged in fraudulent behavior, or harmed other users or RentMicKits.

9.3. Effect. Termination does not relieve you of any obligations incurred before termination, including payment obligations under any active rental agreement.

10. Warranty Disclaimer

THE SITE AND ALL CONTENT, MATERIALS, AND SERVICES AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RENTMICKITS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components; that defects will be corrected; or that the results of using the Site will meet your requirements.

This Section 10 governs the website itself. Your rights and our obligations with respect to the physical Equipment are governed by the Equipment Rental Agreement.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL RENTMICKITS, ITS AFFILIATES, OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID TO US FOR A RENTAL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability will be limited to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless RentMicKits, its affiliates, officers, members, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of [State TBD by counsel], without regard to its conflict-of-laws principles. Disputes arising out of or relating to these Terms are subject to the dispute resolution provisions of the Equipment Rental Agreement (informal resolution, binding arbitration, class action waiver), which are incorporated here by reference.

14. Changes to These Terms

We may revise these Terms from time to time. The most current version will always be posted at rentmickits.com/legal/terms-of-service. Material changes will be indicated by an updated “Last updated” date and, where appropriate, by prominent notice on the Site. Your continued use of the Site after a change means you accept the revised Terms.
